Terms of Service

1. Acceptance of Terms

By accessing or using the CleanRush platform (the "Service"), operated by TheTopOn IT Solutions LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including customers, vendors, and gig workers.

2. Description of Service

CleanRush is a multi-sided SaaS platform that connects customers seeking laundry and dry cleaning services with local laundry businesses (vendors) and independent delivery workers (gig workers). The Service includes an online ordering portal, real-time order tracking, a vendor management suite, a gig worker job board, and related tools and features.

TheTopOn IT Solutions LLC acts as a technology intermediary. We do not perform laundry or dry cleaning services directly. All cleaning services are performed by independent vendor businesses that use the CleanRush platform.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account.

You must be at least 18 years of age to create an account or use the Service. By creating an account, you represent and warrant that you meet this age requirement.

4. Orders and Payments

When you place an order through CleanRush, you are entering into a service agreement with the vendor fulfilling your order. CleanRush facilitates the transaction but is not a party to the service contract between you and the vendor. Pricing is set by vendors and displayed at the time of order placement.

All payments are processed securely through Stripe, our third-party payment processor. By submitting payment information, you authorize us to charge the applicable fees to your selected payment method. All sales are final unless a vendor's refund policy states otherwise or a service error occurs.

TheTopOn IT Solutions LLC reserves the right to modify platform fees for vendors at any time with 30 days' prior written notice.

5. Vendor Terms

Vendors who register on the CleanRush platform agree to: (a) provide accurate business information; (b) fulfill orders in a timely and professional manner; (c) comply with all applicable local, state, and federal laws governing laundry and dry cleaning services; (d) maintain appropriate business licenses and insurance; and (e) adhere to CleanRush's quality standards.

Vendors are solely responsible for the quality of their services, garment handling, and any damage or loss of customer items. TheTopOn IT Solutions LLC is not liable for vendor service failures, garment damage, or disputes between vendors and customers.

Vendor accounts are subject to approval by TheTopOn IT Solutions LLC. We reserve the right to suspend or terminate any vendor account that violates these Terms or engages in conduct detrimental to the platform or its users.

6. Gig Worker Terms

Gig workers who register on the CleanRush platform are independent contractors, not employees of TheTopOn IT Solutions LLC. Workers are responsible for their own taxes, insurance, and compliance with applicable laws. Workers agree to: (a) handle customer garments with care; (b) complete accepted jobs in a timely manner; (c) maintain accurate availability status; and (d) comply with all applicable traffic and transportation laws.

Worker payouts are processed through Stripe Connect. TheTopOn IT Solutions LLC is not responsible for delays in payouts caused by Stripe or banking institutions.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to any part of the Service or its systems
• Transmit any harmful, offensive, or disruptive content
• Use automated tools to scrape, crawl, or extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Engage in fraudulent activity, including submitting false orders or reviews

8. Intellectual Property

All content, features, and functionality of the CleanRush platform - including but not limited to text, graphics, logos, icons, software, and the overall design - are the exclusive property of TheTopOn IT Solutions LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Vendors who upload logos or branding materials to the platform represent that they own or have the right to use such materials and grant TheTopOn IT Solutions LLC a limited license to display them within the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THETOP ON IT SOLUTIONS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THETOP ON IT SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from your use of the Service shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless TheTopOn IT Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in Atlanta, Georgia. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

TheTopOn IT Solutions LLC reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
